2. Getting Started: Market Entry and Registration

Investors are required and encouraged to register their projects with the Zimbabwe Investment and Development Agency (ZIDA), which is the statutory gateway responsible for facilitating, licensing and protecting both local and foreign investment. All corporate entities in Zimbabwe are governed by the Companies and Other Business Entities Act [Chapter 24:31], which came into effect on 13 February 2020 and regulates the incorporation, registration, management and governance of companies. Bilateral Investment Treaties

Zimbabwe is party to a number of BITs, offering additional guarantees against expropriation and unfair treatment. Treaties are ratified under the Investment Promotion and Protection Agreements Act [Chapter 22:05], which domesticates international investment protections into Zimbabwean law. Zimbabwe currently has BITs with the United Kingdom, China, South Africa, Germany, the Netherlands, Switzerland and Malaysia, among others.

Double Taxation Agreements

DTAs reduce the risk of fiscal duplication and are given legal effect through the Income Tax Act [Chapter 23:06]. Zimbabwe currently has DTAs with over 15 countries, including South Africa, the United Kingdom, China, Mauritius, the Netherlands, Germany and Sweden.

Constitutional Property Rights

Section 71 of the Constitution of Zimbabwe Amendment (No. 20) Act, 2013 entrenches legal protection against uncompensated expropriation.

Exchange Control

Exchange control regulations ensure smooth capital flows governing the repatriation of dividends, loan repayments and capital. This is administered under the Exchange Control Act [Chapter 22:05] and the Exchange Control Regulations, 1996 (Statutory Instrument 109 of 1996), which empower the Reserve Bank of Zimbabwe to regulate capital movements.

Governing Legislation

Mining in Zimbabwe is governed by the Mines and Minerals Act [Chapter 21:05], the primary legislation regulating prospecting, exploration, mining and mineral processing. Key provisions cover the available types of mining rights, Exclusive Prospecting Orders, Mining Leases, Special Grants and Registration Rights,  the priority of prospecting over mining claims, occupational health and safety requirements and environmental obligations including rehabilitation.

Labour and Employment

Compliance with Labour law remains one of the complex areas for foreign and even domestic investors to navigate in any jurisdiction. In Zimbabwe all employment is governed by the Labour Act [Chapter 28:01], which regulates employment contracts, termination procedures and employee welfare; the Immigration Act [Chapter 4:02], expatriate work permits and the National Social Security Authority Act, which requires NSSA contributions for employees.
